Model for Organization, Management and Control ex D. Lgs. 231/01
The legislative decree of 8th July 2001 concerns “Rules and regulations of administrative responsibility of legal persons, of companies and associations, even if lacking of legal status, in accordance with the art. 11 of the law 300 of 29th September 2000”. For the first time in the Italian legal system, it introduces criminal liability of Companies, in addition to that of natural person who physically committed the tort.
RESPONSIBLE SUBJECTS: legal persons, companies and associations, even if lacking of legal status.
WHEN: for offences committed for self-interest and for one’s own advantage.
COMMITTED BY:
- persons who are representing, administrating or managing the company or an organization with financial or functional autonomy or persons who are responsible for management and control, even in fact.
- persons subjected to their management and control.
UNLESS: the companies adopt organizational and management models qualified for preventing the commission of a crime
ON THE RESPONSIBILITY OF: a specific board of the company, having autonomous power of initiative and control, responsible for surveillance on the functioning of the model itself
